Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Pectagon ("Pectagon", "we", "us", or "our") governing your access to and use of the Pectagon platform, including all related services, features, and applications (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Definitions
"Account" means the account created by Customer to access and use the Service.
"Authorized Users" means individuals who are authorized by Customer to use the Service under Customer’s Account, including employees, contractors, and agents.
"Customer Data" means all data, content, and information submitted, uploaded, or otherwise made available by Customer or its Authorized Users through the Service, including but not limited to review data imported from third-party platforms.
"Documentation" means the user guides, help articles, and other documentation provided by Pectagon relating to the Service.
"Subscription" means Customer’s subscription to the Service as specified in the applicable order or plan selection.
"Subscription Term" means the period during which Customer has an active Subscription to the Service.
"Third-Party Platforms" means external review platforms and services (such as Google Reviews, Trustpilot, Amazon, Tripadvisor, G2, Capterra, Indeed, and similar platforms) from which the Service may import review data.
2. Account Registration and Access
2.1 Account Creation
To use the Service, you must create an Account by providing accurate and complete registration information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
2.2 Authorized Users
Customer may permit Authorized Users to access the Service in accordance with the applicable Subscription plan. Customer is responsible for ensuring that all Authorized Users comply with these Terms and is liable for any breach by its Authorized Users.
2.3 Account Security
You must immediately notify Pectagon of any unauthorized use of your Account or any other security breach. Pectagon will not be liable for any loss or damage arising from your failure to protect your Account credentials.
3. Service Description
3.1 Overview
Pectagon is a review intelligence platform that enables Customers to aggregate, analyze, and report on customer reviews from multiple Third-Party Platforms. The Service includes:
Automated import of reviews from connected Third-Party Platforms
AI-powered analysis including topic detection, sentiment analysis, and trend identification
Dashboard and analytics views for monitoring review performance
Automated report generation and distribution to designated stakeholders
Actionable recommendations based on review data analysis
3.2 Third-Party Platform Data
The Service imports publicly available review data from Third-Party Platforms. Pectagon does not control and is not responsible for the content, accuracy, or availability of data on Third-Party Platforms. The availability of data from any Third-Party Platform may change without notice due to changes in that platform’s terms, APIs, or policies.
3.3 AI-Generated Content
The Service uses artificial intelligence to generate analyses, summaries, recommendations, and other content. AI-generated content is provided for informational purposes only and should not be treated as professional advice. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are solely responsible for any decisions made based on AI-generated content.
4. Subscription and Payment
4.1 Subscription Plans
Access to the Service requires a paid Subscription. The features, usage limits, and pricing of each plan are described on our website or in a separate order form. Pectagon reserves the right to modify plan features and pricing upon reasonable notice.
4.2 Free Trial
Pectagon may offer a free trial period for new Customers. At the end of the trial period, your access to the Service will be suspended unless you subscribe to a paid plan. Pectagon reserves the right to modify or discontinue free trials at any time.
4.3 Payment Terms
Subscription fees are billed in advance on a monthly or annual basis as selected by Customer. All fees are quoted in Euros (EUR) unless otherwise agreed. Payment is due upon invoice and must be made via the payment methods accepted by Pectagon.
4.4 Late Payment
If payment is not received within fourteen (14) days of the due date, Pectagon reserves the right to suspend access to the Service until all outstanding amounts are paid. Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
4.5 Taxes
All fees are exclusive of taxes. Customer is responsible for all applicable taxes, including VAT, sales tax, or similar taxes, except for taxes based on Pectagon’s net income.
4.6 Price Changes
Pectagon may adjust Subscription fees upon at least thirty (30) days’ prior written notice. For annual Subscriptions, price changes take effect at the beginning of the next renewal term. If Customer does not agree to a price increase, Customer may cancel the Subscription before the new pricing takes effect.
5. Term, Renewal, and Termination
5.1 Subscription Term
The Subscription Term begins on the date Customer subscribes to the Service and continues for the period specified in the applicable plan (monthly or annual).
5.2 Auto-Renewal
Subscriptions automatically renew for successive periods of the same duration unless either party provides written notice of non-renewal at least thirty (30) days before the end of the current Subscription Term.
5.3 Termination for Convenience
Monthly Subscriptions may be cancelled at any time, effective at the end of the current billing period. Annual Subscriptions may be cancelled with effect at the end of the current annual term.
5.4 Termination for Cause
Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice of the breach.
5.5 Suspension
Pectagon may suspend Customer’s access to the Service immediately if: (a) Customer’s use poses a security risk to the Service or any third party; (b) Customer’s use could adversely impact the Service or other customers; (c) Customer is in breach of these Terms; or (d) Customer’s payment is overdue.
5.6 Effect of Termination
Upon termination or expiration of the Subscription:
Customer’s access to the Service will be deactivated.
Pectagon will retain Customer Data for thirty (30) days following termination, during which Customer may request an export of their data.
After the thirty (30) day retention period, Pectagon will delete Customer Data in accordance with its data retention policies.
No refunds will be issued for unused portions of prepaid Subscription fees, except where required by applicable law.
6. Data Ownership and Privacy
6.1 Customer Data Ownership
Customer retains all right, title, and interest in and to Customer Data. By using the Service, Customer grants Pectagon a limited, non-exclusive license to access, use, and process Customer Data solely as necessary to provide the Service and as described in these Terms.
6.2 Aggregated and Anonymized Data
Pectagon may use aggregated and anonymized data derived from Customer’s use of the Service for purposes such as improving the Service, generating benchmarks, and conducting research. Such data will not identify Customer or any individual.
6.3 Privacy
Pectagon processes personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference. To the extent that Pectagon processes personal data on behalf of Customer, the parties agree to enter into a Data Processing Agreement (DPA) as required by applicable data protection laws, including the EU General Data Protection Regulation (GDPR).
6.4 Data Security
Pectagon implements and maintains appropriate technical and organizational measures to protect Customer Data against unauthorized access, loss, destruction, or alteration. These measures are designed to provide a level of security appropriate to the risk involved in the processing.
7. Intellectual Property
7.1 Pectagon IP
The Service, including all software, algorithms, user interfaces, designs, trademarks, and Documentation, is and remains the exclusive property of Pectagon and its licensors. Nothing in these Terms grants Customer any right, title, or interest in the Service except for the limited right to use the Service as expressly permitted herein.
7.2 Feedback
If Customer provides suggestions, ideas, or feedback regarding the Service ("Feedback"), Pectagon may freely use, incorporate, and commercialize such Feedback without any obligation or compensation to Customer.
8. Acceptable Use
Customer agrees not to, and shall ensure that its Authorized Users do not:
Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
Circumvent or attempt to circumvent any usage limits, access controls, or security measures of the Service.
Use the Service to scrape, collect, or harvest data in violation of any Third-Party Platform’s terms of service.
Resell, sublicense, or make the Service available to any third party without Pectagon’s prior written consent.
Transmit any malicious code, viruses, or harmful content through the Service.
Interfere with or disrupt the integrity or performance of the Service.
Use the Service to transmit any content that is defamatory, obscene, or otherwise objectionable.
9. Warranties and Disclaimers
9.1 Service Warranty
Pectagon warrants that the Service will perform materially in accordance with the applicable Documentation during the Subscription Term. If the Service fails to conform to this warranty, Pectagon will use commercially reasonable efforts to correct the non-conformity. If Pectagon is unable to correct the non-conformity within a reasonable time, Customer may terminate the affected Subscription and receive a pro-rata refund of prepaid fees for the remaining Subscription Term.
9.2 Disclaimer
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 9.1, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PECTAGON DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.3 Third-Party Data Disclaimer
Pectagon does not warrant the accuracy, completeness, or timeliness of data imported from Third-Party Platforms. Review data is provided as-is from the respective sources, and Pectagon is not responsible for any errors, omissions, or changes in third-party data.
10. Limitation of Liability
10.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
10.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER TO PECTAGON DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.3 Exceptions
The limitations in Sections 10.1 and 10.2 shall not apply to: (a) either party’s breach of confidentiality obligations; (b) Customer’s breach of Section 8 (Acceptable Use); (c) either party’s indemnification obligations; or (d) liability that cannot be limited or excluded under applicable law.
11. Indemnification
11.1 Indemnification by Pectagon
Pectagon shall indemnify, defend, and hold harmless Customer from and against any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising from any allegation that the Service infringes a third party’s intellectual property rights, provided that this obligation does not apply to the extent the claim arises from: (a) Customer’s modification of the Service; (b) Customer’s use of the Service in combination with products not provided by Pectagon; or (c) Customer’s use of the Service in violation of these Terms.
11.2 Indemnification by Customer
Customer shall indemnify, defend, and hold harmless Pectagon from and against any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) Customer Data or its use; (b) Customer’s breach of these Terms; or (c) Customer’s violation of applicable laws.
12. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the receiving party prior to disclosure; (c) is received from a third party without restriction; or (d) is independently developed without use of the disclosing party’s Confidential Information.
Each party shall use the other party’s Confidential Information only as necessary to exercise its rights or perform its obligations under these Terms. The obligation of confidentiality shall survive for three (3) years after termination of these Terms.
13. Service Levels and Support
13.1 Availability
Pectagon shall use commercially reasonable efforts to maintain the availability of the Service. Planned maintenance will be scheduled during off-peak hours where possible, and Pectagon will provide reasonable advance notice of planned downtime.
13.2 Support
Pectagon provides customer support via email during standard business hours (Central European Time). The level of support may vary based on the Customer’s Subscription plan. Detailed support terms are described in the applicable plan documentation.
14. Modifications to the Service and Terms
14.1 Service Modifications
Pectagon may update, modify, or discontinue features of the Service from time to time. Pectagon will provide reasonable notice of material changes that adversely affect Customer’s use of the Service.
14.2 Changes to Terms
Pectagon may modify these Terms at any time by posting the updated Terms on its website and notifying Customer via email or through the Service. Continued use of the Service after the effective date of modified Terms constitutes acceptance of those changes. If Customer does not agree with the modified Terms, Customer may terminate the Subscription in accordance with Section 5.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict of law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
15.2 Jurisdiction
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.
15.3 Informal Resolution
Before initiating any formal dispute resolution proceedings, the parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of at least thirty (30) days.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy, any applicable DPA, and any order forms, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, and representations.
16.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the intent of the original provision.
16.3 Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party. A party’s failure to enforce any right under these Terms shall not constitute a waiver of that right.
16.4 Assignment
Customer may not assign or transfer these Terms or any rights hereunder without Pectagon’s prior written consent. Pectagon may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
16.5 Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations (other than payment obligations) to the extent caused by events beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or failure of third-party services.
16.6 Notices
All notices under these Terms shall be in writing and sent to the email address associated with Customer’s Account or to Pectagon at the contact details published on its website. Notices are deemed received when delivered electronically if sent during business hours, or at the start of the next business day otherwise.
16.7 Independent Contractors
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.
